DBD Biz Regist 2026: 8 Decisions Before Online Company Registration
A practical checklist of eight decisions to settle before registering a Thai limited company online through DBD Biz Regist.

Entrepreneurs in Chiang Rai and elsewhere in Thailand do not need to begin company registration by immediately filling in forms. A better first step is to agree on the key facts among the promoters, shareholders and directors: the company name, registered office, objectives, capital and shares, signing authority, auditor and supporting evidence.
The Department of Business Development now provides DBD Biz Regist for digital juristic-person registration. The platform supports establishment, amendments, dissolution and completion of liquidation, as well as application submission, signatures, fee payment and downloads of approved registration documents. The online channel is convenient, but it does not replace complete and consistent underlying information.
Why prepare before opening DBD Biz Regist
DBD officially launched DBD Biz Regist on 16 January 2025 and discontinued the previous e-Registration system from 1 July 2025. Online applicants should therefore use the current platform and follow the manual for the transaction they intend to file.
Establishing a limited company involves more than reserving a name. The promoters prepare the memorandum, arrange subscription of all shares, hold the statutory meeting, transfer the business to the directors, call for payment on shares and file for registration. DBD guidance describes a limited company as a profit-seeking undertaking formed by at least two persons, with equal-value shares worth at least THB 5 each.
“Same-day registration” in DBD guidance means completing the internal establishment steps on the same day so that the memorandum and company establishment can be filed together. It is not a guarantee that every application will be approved in one day.
Eight decisions to make before filling in the application
1. The company name and backup choices
Check and reserve the juristic-person name through DBD's name-reservation service. The approved name must be used as stated in the result notice and remain valid when the application is filed. Agree on the Thai name, any foreign-language name and backup options in case the first choice is too similar to an existing name.
2. A registered office that can genuinely be contacted
The DBD establishment guide calls for the head-office or branch address, province, house registration code, email, telephone number and business website, if any. Confirm the right to use the premises, owner consent, address evidence and map before filing.
For a Chiang Rai business, a paper application for a new establishment must be filed in the province where the head office is located under the current rule, while DBD Biz Regist can be used online from another location. An incorrect province can affect the responsible registrar and later tax or licensing records.
3. Objectives that match the actual business
Objectives should cover the goods or services the company genuinely plans to provide without becoming so broad that the team cannot explain the business. Regulated activities such as recruitment, insurance brokerage, direct sales, direct marketing or securities may require approval evidence from the responsible authority.
4. Registered capital, share value and actual payment
Set the registered capital, number of shares and equal par value; DBD requires a par value of at least THB 5. During establishment, the directors must call for payment of at least 25% of each share's value and retain evidence of receipt.
Capital should reflect funds that shareholders can genuinely pay, expected operating costs and any licensing or commercial requirements. Current DBD guidance requires additional documents when registered capital exceeds THB 5 million.
5. Promoters and the shareholding structure
At least two promoters are required to prepare the memorandum. Each promoter must be a natural person aged at least 12 and subscribe for at least one share. Agree on share percentages, funding sources and the relationship among shareholders before the statutory meeting.
Foreign shareholding or a foreign authorized director can trigger additional evidence depending on the structure and the orders then in force. A Thai-only checklist should not be reused automatically.
6. Directors and signing authority
Decide who will serve as director and which director, or how many directors, can bind the company. “Any one director may sign” has a different operational effect from “two directors must sign jointly” for bank accounts, contracts and routine applications.
A company does not have to register a seal if the directors' authority does not require one. Decide on the seal together with the signing clause instead of designing a seal first and adjusting the corporate documents afterward.
7. The licensed auditor and remuneration
The statutory meeting must appoint a licensed auditor and set remuneration. DBD guidance requires the appointment of an individual auditor, not an audit-firm name. Obtain the auditor's name, licence number and acceptance before the meeting.
8. Signature method, representative and case-specific evidence
DBD Biz Regist supports membership and digital identity verification, including ThaID, as well as application submission, signatures and fee payment. Each participant should confirm that their identification channel works, their telephone is accessible and the identification or passport details match the application.
If a representative is used, prepare the power of attorney and define the role clearly. Additional evidence or personal appearance may apply to capital over THB 5 million, foreign shareholders or directors, an address already used by five or more registered entities, specially regulated activities, or persons within specific verification rules.
A short workflow before submitting online
Check and reserve the company name.
Agree on the office, objectives, capital, shares, promoters, directors and signing authority.
Prepare auditor information, the seal if used, and case-specific evidence.
Prepare the memorandum and arrange subscription of all shares.
Hold the statutory meeting and record the required resolutions.
Transfer the business to the directors and call for at least 25% payment on shares.
Create and review the DBD Biz Regist application so every form is consistent.
Complete signatures, fee payment and follow any registrar instruction.
After approval, download the receipt, certificate, certified copies and registration certificate.
If the memorandum and establishment are registered separately, the establishment filing must be made within three months after the statutory meeting; otherwise the meeting lapses and must be held again. The memorandum itself lapses if the company is not registered within three years after registration of the memorandum.
After the certificate, start the business records immediately
Once registered, the company becomes a separate legal person and receives a 13-digit juristic-person number, which is also used as its tax identification number. DBD's November 2025 guide highlights several immediate tasks:
Prepare the shareholder register from the registration date and keep it at the company office.
Issue share certificates to shareholders.
Start accounting from the registration date and appoint a legally qualified bookkeeper.
Hold the first annual general meeting within six months after registration.
If VAT registration is needed, check the appropriate method and timing; DBD permits a VAT application to accompany the establishment application.
When employees are hired, use the juristic-person number to register employees or insured persons within 30 days from the hiring date under the current guide.
How Tax Point can support company registration
Tax Point Accounting can help review the initial structure, collect information on the name, office, objectives, capital, shareholders, directors, signing authority and auditor, organize an evidence checklist, coordinate the information used in the application and plan post-registration accounting, tax and payroll work based on the business's facts. (Business Registration)
The service supports preparation and filing based on the information and evidence supplied. It does not guarantee approval, processing time, tax treatment or a registrar's decision. Foreign participation, regulated activities, special investment structures or licensing conditions should be reviewed with the relevant specialist before filing.
